Persistent Systems has unveiled its largest acquisition to date, a €1.27 billion all-cash deal to acquire Germany-based digital engineering firm Nagarro. The offer, at €81 per share, represents a significant premium of approximately 140% over Nagarro's closing share price on June 25, 2026.
This strategic transaction is set to establish a global AI-led digital engineering powerhouse, significantly expanding Persistent's capabilities in digital engineering, enterprise transformation, and artificial intelligence. The combined entity is expected to have a stronger presence across Europe, North America, and other key international markets.
Persistent Systems has already secured approximately a 21% stake in Nagarro through a binding agreement with its largest shareholder, Lantano Beteiligungen GmbH. Members of Nagarro's Management Board have also indicated their intention to tender their shares under the offer.
The proposed combination will create a company with an estimated $2.9 billion in revenue and over 46,000 employees across more than 40 countries. Nagarro's Management and Supervisory Boards support the transaction and intend to recommend that shareholders accept the offer.
The acquisition is anticipated to close in the fourth quarter of calendar year 2026 or the first quarter of calendar year 2027, subject to shareholder acceptance and regulatory approvals.
